Purchase Terms and Conditions - Premium Pallet

 

Section 1: General Terms and Conditions

1.1 Acceptance of Terms: By placing an order with Premium Pallet, the customer agrees to the following terms and conditions.

1.2 Pallet Types: Premium Pallet offers wood pallets made from recycled wood and new lumber.

1.3 Customers are required to conduct a thorough inspection of the delivered products, including pallets and wood lumber, at the time of delivery or unloading. Any damages or defects found during this inspection must be promptly and clearly noted on the packing slip provided by Premium Pallet. We emphasize the importance of inspecting the products on the same date as the purchase or delivery to ensure accurate documentation of any damages.

Please be aware that Premium Pallet will only authorize exchanges for damaged pallets or lumber if the damages are documented on the packing slip during the initial inspection. Exchanges will not be processed for products that show signs of damages reported after the delivery date. Ensuring a comprehensive inspection and notation process at the point of purchase or delivery will facilitate a smooth and efficient exchange process for any damaged products.

Section 2: Order Processing Policy at Premium Pallet, Inc.

Premium Pallet, Inc. requires that for all orders necessitating a Purchase Order Number (PO#), this number must be attached and confirmed prior to dispatch. This policy is part of our ongoing commitment to streamlined and efficient order processing. We kindly request your compliance to ensure timely and accurate delivery of your orders.

Section 3: Proprietary Information Confidentiality

3.1 Buyer shall consider all information furnished by Premium Pallet to be confidential and shall not disclose any such information to any other person or use such information itself for any purpose other than performing what is needed to fulfill this purchase order unless Buyer obtains written permission from Premium Pallet to do so.

3.2 This paragraph shall apply to drawings, specifications, or any other documents prepared by Buyer for Premium Pallet in connection with this order.

3.3 Buyer shall not advertise or publish the fact that Premium Pallet has contracted to purchase goods from Buyer, nor shall any information relating to the order be disclosed without Premium Pallet's written permission.

 

Section 4: Damaged Pallets and Lumber

4.1 Exchanges, Refunds, or Replacements for Damaged Pallets or Lumber:

Premium Pallet is committed to providing quality products and ensuring customer satisfaction. We understand that occasionally, products may be received in a damaged condition or may not meet your expectations. Therefore, we have established a comprehensive policy to address such situations.

4.1.1 Exchanges for Damaged Pallets or Lumber:

We will only authorize exchanges for damaged pallets or lumber that are reported and noted at the time of delivery or unloading. It is essential for customers to thoroughly inspect the received products for damages on the same date of purchase or delivery. Any damages observed must be immediately documented on the packing slip. We will honor exchange requests for products with documented damages on the packing slip, provided that the damages are accurately recorded. We regret to inform you that exchange requests for damaged pallets or lumber reported days after the date of purchase or delivery will not be accepted. The timely inspection and proper documentation are essential to facilitate a seamless exchange process.

4.1.2 Refund or Replacement Requests:

Premium Pallet acknowledges that there might be instances where customers are dissatisfied with the purchased products due to defects, damage, or other reasons. In such cases, customers are entitled to seek a refund or replacement as per our policy guidelines.

4.1.3 Terms of Coverage:

Our refund or replacement policy covers products that exhibit defects, damages, or discrepancies from the order. This includes but is not limited to manufacturing defects, shipping damages, and errors in the order fulfillment process.

4.1.4 Duration and Limitations:

Customers are eligible to file refund or replacement claims within 5 days from the date of purchase or delivery. Claims submitted beyond this time frame will not be considered. Additionally, our policy does not cover damages or defects resulting from customer misuse, negligence, unauthorized modifications, or any form of alterations to the products.

4.1.5 Claim Procedures:

To initiate a refund or replacement claim, customers must follow these steps:

  • Contact our customer support team via request@premiumpallet.com within the stipulated time frame.

  • Provide comprehensive documentation of the issue, including clear photographs showing the damages or defects, along with the packing slip information.

  • Our customer support team will review the submitted information and assess the eligibility of the claim.

  • If the claim is approved, customers will be guided through the further steps to facilitate the refund or replacement process.

4.2 Customer Usage: Please note that Premium Pallet will not entertain requests for returns, exchanges, refunds, or replacements for damaged pallets or lumber that exhibit signs of customer usage. This includes products that have been drilled, sawed, sanded, machined, or subjected to any form of alteration by the customer. We reserve the right to decline such requests to maintain the integrity of our exchange and refund policies.

We are committed to delivering the highest quality products and addressing any concerns our customers may have. Our policies are designed to ensure a fair and transparent process for exchanges, refunds, and replacements, and we appreciate your cooperation in adhering to these guidelines.

 

Section 5: California Proposition 65 Warning

5.1 Wood Dust Hazard: Drilling, sawing, sanding, or machining wood products can generate wood dust, a substance known to the State of California to cause cancer.

5.2 Safety Measures: Customers are strongly advised to avoid inhaling wood dust and to use a dust mask or other protective measures for personal safety while working with wood products.

Purchase Terms and Conditions - Suppliers

 

Section 1: General Terms and Conditions

1.1 Supplier Agreement: Supplier acceptance and processing of this purchase order submitted by Premium Pallet, Inc. ("Premium Pallet") indicates that Seller accepts and agrees to be bound by the terms and conditions on the face of any purchase order submitted by Premium Pallet and those terms contained herein.

1.2 Product Quality: Suppliers must ensure that all products, including nails and new lumber, meet the specified quality standards.

1.3 Delivery and Timeliness: Suppliers are responsible for timely delivery and adherence to agreed-upon delivery schedules.

1.4 Communication: Suppliers must maintain clear and open communication with Premium Pallet regarding product availability, pricing, and any potential delays.

 

Section 2: Indemnification

2.1 Seller shall defend, indemnify, and hold harmless Premium Pallet, its ownership, officers, directors, employees, agents, representatives, and customers against all damages, claims, or liabilities and expenses (including attorney's fees) arising out of or resulting in any way from any defect or nonconformity in the goods purchased hereunder, any breach of the terms and conditions of this order, or from any act or omission of Seller, its agents, employees, or subcontractors.

2.2 This indemnification shall be in addition to the warranty obligations of Seller.

2.3 Seller agrees, upon receipt of notification, to promptly assume full responsibility for the defense of any suit or proceeding which may be brought against Premium Pallet, its ownership, officers, directors, employees, agents, and representatives for alleged patent infringement, as well as for any alleged unfair competition resulting from similarity in design, trademark, or appearance of goods or services furnished hereunder.

2.4 Seller further agrees to indemnify Premium Pallet against any and all expenses, losses, royalties, profits, and damages, including court costs and attorney's fees, resulting from any such suit or proceeding.

2.5 Premium Pallet may be represented by and actively participate through its own counsel in any such suit or proceeding if it so desires, and the costs of such representation shall be paid by Seller.

 

Section 3: Insurance

3.1 Seller will maintain, at its sole cost and expense, at least the following insurance:

  • Commercial General Liability, including but not limited to (i) injury to a person, (ii) damage to property, (iii) contractual liability coverage, (iv) personal and advertising injury liability, and (v) products liability coverage, including a broad form vendor's endorsement (additional insured-vendor), in an amount not less than 1 Million Dollars ($1,000,000) for each occurrence, listing Premium Pallet as an additional insured hereunder

  • Upon Premium Pallet's request, Seller shall provide Premium Pallet with a certificate of insurance indicating all insurance coverage required by Premium Pallet.

 

Section 4: Delivery

4.1 If delivery of items is not completed by the time promised, Premium Pallet reserves the right, without liability in addition to its other rights and remedies, to terminate this contract by notice effective when received by Seller as to items not yet shipped or services not yet rendered and to purchase substitute items or services, and Seller shall be responsible for any excess cost incurred.

 

Section 5: Inspection/Testing

5.1 Premium Pallet shall have the right to inspect goods upon delivery and to reject any or all of said goods that are, in Premium Pallet's judgment, defective or nonconforming.

5.2 Goods rejected and goods supplied in excess of quantities called for on the purchase order may be returned to Seller at its expense, and in addition to Premium Pallet's other rights, Premium Pallet may charge Seller all expenses of unpacking, examining, repacking, and reshipping such goods.

5.3 In the event Premium Pallet receives goods whose defects or nonconformities were not evident on examination, Premium Pallet reserves the right to require replacement as well as payment of damages.

5.4 Nothing contained in this purchase order shall relieve Seller in any way from the obligation of testing, inspection, and quality control.

 

Section 6: Termination for Cause

6.1 Premium Pallet may also terminate this order or any part of this order in the event of any default by the Seller or if the Seller fails to comply with any of the terms and conditions noted herein.

6.2 Late deliveries, deliveries of products that are defective or that do not conform to this order, and failure to provide Premium Pallet, upon request, reasonable assurances of future performance shall all be causes allowing Premium Pallet to terminate this order for cause.

6.3 In the event of termination for cause, Premium Pallet shall not be liable to Seller for any amount, and Seller shall be liable to Premium Pallet for any and all damages sustained by reason of the default that gave rise to the termination.

 

Section 7: Payment and Invoicing

7.1 Payment Terms: Payment terms and methods will be agreed upon between Premium Pallet and the supplier.

7.2 Invoicing: Suppliers are required to provide accurate and detailed invoices for all transactions.

 

Section 8: Product Liability and Warranties

8.1 Product Liability: Suppliers are liable for any defects or damages caused by their products.

8.2 Warranties: Suppliers must honor all applicable warranties for the products supplied.

Section 9: Compliance with Regulations

9.1 Legal Compliance: Suppliers must comply with all relevant laws, regulations, and industry standards pertaining to the production and supply of their products.

 

Section 10: Force Majeure

10.1 Premium Pallet may delay delivery or acceptance occasioned by causes beyond its control.

10.2 Seller shall hold such goods at the direction of Premium Pallet and shall deliver them when the cause affecting the delay has been removed.

10.3 Premium Pallet shall be responsible only for Seller's direct additional costs in holding the goods or delaying performance of this agreement at Premium Pallet's request.

10.4 Causes beyond Premium Pallet's control shall include governmental action or failure of the government to act where such action is required, strike or other labor trouble, fire, unusually severe weather, or other natural catastrophic events.

 

Section 11: Confidentiality

11.1 Confidential Information: Suppliers must keep all confidential information shared by Premium Pallet confidential and refrain from disclosing it to third parties without prior written consent.

These purchase terms and conditions outline the agreed-upon terms for transactions between Premium Pallet and its customers and suppliers. By engaging in business with Premium Pallet, all parties agree to abide by these terms for a successful and mutually beneficial partnership.
